is this bag water proof

No. It is not waterproof. It does come with a cover for it that keeps it dry. I have ridden in the rain with it & it worked well.

Does it need to sit on a rack?

Not necessarily, but you will at least need a back rest to strap it to.

Will this bag hold a full face helmet?

It will fit a full face helmet in the bottom storage area, but you won’t be able to put anything else in there.
